By accessing or using TeleBot services at telebot.systems and telebot.tech ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.
These Terms apply to all users, including free trial users, paid subscribers, and API consumers.
2. Service Description
TeleBot provides AI-powered communication services, including:
- SMS Campaigns: Bulk SMS messaging and automated responses
- Voice AI Agents: AI-powered voice calls using Retell AI and Twilio
- Chatbot Services: Intelligent chat assistants for customer support
- CRM Integration: Customer relationship management tools
- API Access: Programmatic access to our services
3. Account Registration
3.1 Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts to use our Service.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
3.3 Accurate Information
You agree to provide accurate, current, and complete information during registration and to update it as necessary.
4. Acceptable Use Policy
4.1 Permitted Use
You may use our Service for lawful business purposes, including:
- Customer support and engagement
- Marketing and promotional campaigns (with proper consent)
- Transactional notifications
- Appointment reminders and confirmations
4.2 Prohibited Activities
You may NOT use our Service for:
- Spam, unsolicited messages, or mass marketing without consent
- Illegal activities or content
- Harassment, threats, or abusive communications
- Phishing, fraud, or deceptive practices
- Adult content, gambling, or prohibited substances
- Political campaigns (without prior approval)
- Violating TCPA, CAN-SPAM, GDPR, or other regulations
- Reverse engineering or attempting to access our systems unauthorized
- Scraping, data mining, or automated data collection
4.3 Compliance
You must comply with:
- Telephone Consumer Protection Act (TCPA)
- CAN-SPAM Act
- GDPR (for EU contacts)
- CCPA (for California contacts)
- All applicable local, state, and international laws
5. Pricing and Payment
5.1 Plans and Pricing
Pricing for our services is available at telebot.systems/pricing. Prices are subject to change with 30 days' notice.
5.2 Payment Terms
- Payments are processed securely via PayPal
- Subscriptions are billed monthly or annually as selected
- All fees are non-refundable unless otherwise stated
- Usage-based charges apply for overages beyond your plan limits
5.3 Auto-Renewal
Subscriptions automatically renew unless canceled at least 24 hours before the renewal date.
5.4 Taxes
Prices do not include applicable taxes. You are responsible for all sales, use, VAT, and other taxes.
6. Service Credits and Usage
6.1 SMS Credits
- Credits are valid for the duration of your active subscription
- Unused credits expire at the end of the billing cycle
- Credits are non-transferable and non-refundable
6.2 Voice Call Minutes
- Billed per minute of active call time
- Minimum charge of 1 minute per call
- Includes AI processing and Twilio telephony costs
6.3 API Rate Limits
- Standard plans: 100 requests/minute
- Business plans: 500 requests/minute
- Enterprise plans: Custom limits available
7. Intellectual Property
7.1 Our IP
TeleBot and all related trademarks, logos, software, and content are owned by HMS-Telecom. You may not use our intellectual property without written permission.
7.2 Your Content
You retain ownership of content you submit through our Service. By using our Service, you grant us a license to:
- Process and transmit your messages
- Store conversation data for service delivery
- Use aggregated, anonymized data for analytics
7.3 AI-Generated Content
Content generated by our AI services is provided "as-is." You are responsible for reviewing and approving AI-generated messages before sending.
8. Service Level Agreement (SLA)
8.1 Uptime Guarantee
- Target Uptime: 99.9% monthly
- Scheduled Maintenance: Announced 48 hours in advance
- Monitoring: 24/7 system monitoring
8.2 Support
- Free Plans: Email support (48-hour response)
- Paid Plans: Priority email support (24-hour response)
- Enterprise: Dedicated support + phone support
9. Data and Privacy
Our collection and use of personal information is described in our Privacy Policy. Key points:
- We do not sell your data to third parties
- Data is encrypted in transit and at rest
- Conversation logs retained for 90 days
- You can request data deletion at any time
10. Termination
10.1 By You
You may cancel your account at any time through your dashboard. No refunds for partial billing periods.
10.2 By Us
We may suspend or terminate your account if:
- You violate these Terms
- You engage in prohibited activities
- Your account is inactive for 12+ months
- Payment fails or is disputed
- We receive legal orders or complaints
10.3 Effect of Termination
- Access to Service immediately revoked
- Unused credits forfeited
- Data retained for 30 days, then permanently deleted
- Outstanding balances remain due
11. Disclaimers and Limitations of Liability
11.1 Service Provided "AS IS"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
11.2 No Guarantee of Results
We do not guarantee:
- Message delivery to all recipients
- AI accuracy or appropriateness
- Specific business outcomes or results
- Uninterrupted or error-free service
11.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TELEBOT AND HMS-TELECOM SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, or consequential damages
- Lost profits, revenue, or data
- Business interruption or downtime
- Damages exceeding the amount you paid in the past 12 months
12. Indemnification
You agree to indemnify and hold harmless TeleBot, HMS-Telecom, and our affiliates from any claims, damages, losses, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of third-party rights
- Content you transmit through the Service
13. Third-Party Services
Our Service integrates with:
- Twilio: SMS and voice infrastructure
- Retell AI: Voice AI processing
- OpenAI/Anthropic: Language models
- PayPal: Payment processing
Use of these services is subject to their respective terms and policies. We are not responsible for third-party service failures.
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of Israel, without regard to conflict of law principles.
14.2 Arbitration
Any disputes shall be resolved through binding arbitration in Afula, Israel, except where prohibited by law.
14.3 Class Action Waiver
You agree to resolve disputes individually and waive participation in class actions.
15. Changes to Terms
We may update these Terms at any time. Material changes will be communicated via email or dashboard notification. Continued use after changes constitutes acceptance.
16. Miscellaneous
16.1 Entire Agreement
These Terms constitute the entire agreement between you and TeleBot.
16.2 Severability
If any provision is found invalid, the remaining provisions remain in effect.
16.3 No Waiver
Failure to enforce any provision does not waive our right to enforce it later.
16.4 Assignment
You may not assign these Terms. We may assign them to an affiliate or successor.
